  • Overview

    To mitigate commercial risk to the business through provision of expertise in reviewing and negotiating sales and purchase contracts, with functions encompassing review of client terms and conditions, framework services agreements, confidentiality agreements, managed services agreements, statements of work, contract amendments, and letters of intent.


    • Oversee specific projects as required, working with notifying all internal and external stakeholders to ensure on time and on budget project delivery.
      Provide contract mark up to identify points of synthesis between agreements and the company’s acceptable risk criteria.
    • Identify potential contractual risks and escalate concerns to the country managing director.
    • Guide review and negotiation of terms and conditions for clients, business partners, subcontractors and suppliers during the integral RFP and RFI portion of the bid process.
    • Collaborate with client directors, sales managers, and the sales and delivery teams to provide guidance on contractual matters and support negotiations on client-facing agreements.
    • Participate directly in client meetings in cooperation with relevant company executives, both face-to-face and over the phone, and create a client onboarding process.
    • Serve as the subject matter expert in data protection while ensuring legislative compliance on contracts and EU-standard contractual clauses.
    • Conduct annual reviews of current client contracts in the UK and Ireland in order to guarantee agreements are still applicable and valid.
    • Coordinate Board-level approval for contractual agreements, including document preparation for MD signatures and creation of summary points for expediting contract signing processes.
    • Create and sustain documentation archiving system through maintenance of fully-executed contracts in the central SharePoint Legal Hub.
    • Keeping abreast of UK & Irish external legislation, ensuring relevant business leads are aware of potential impacts and mitigating risks to the business.
    • Create and deliver integral training courses to boost employee performance in the management of contract risks and data protection.
    • Working directly with external legal counsel as and when business critical risks and issues arise in collaboration with country managing directors.
    • Management of the legal and commercial risk and issues register
    • In-depth understanding of companies insurance policies including but not limited to Professional Indemnity, Employers and Public Liability.


    • Degree educated or work experience equivalent
    • Additional course or certification in Data Protection, Management of risk
    • Management certification or qualification


    • Experience of introducing new concepts or strategies that significantly improve or revise the way risk and issues are managed.
    • Excellent communication and presentations skills, maintains confidentiality, shares ideas and information, facilitates discussions and transfers knowledge to diverse audiences to achieve collective objectives.


    • Proven capability in delivering winning, multi-million-pound product or complex services opportunities.
    • Must be comfortable working at CEO/Director Level (internal and external customers).
    • Experience  of solutions, financial, commercial and legal contributors in achieving the bid win.
    • Sound commercial understanding and risk management skills.
    • Time management, efficiency, the ability to meet deadlines and work with minimal supervision.
    • Able to provide valuable input into opportunity qualification, win strategies, commercial and risk management
    • Have the ability to manage complex, multi-workstream opportunities. Solid understanding and implementation of internal governance procedures.
